Please read these Terms of Service carefully before using PayLexer. By creating an account or using any part of the platform, you agree to be bound by these Terms. If you do not agree, do not use PayLexer.
1. About PayLexer
PayLexer is a payment gateway management platform that allows site owners and developers to configure payment gateways once and deploy them across multiple websites. PayLexer does not process payments directly – it facilitates the connection between your websites and third-party payment gateway providers such as Stripe, Airwallex, Paystack, and others.
These Terms should be read alongside our Privacy Policy at paylexer.com/privacy-policy, which explains how we collect, use, and protect your data.
2. Eligibility
To use PayLexer you must:
- Be at least 18 years of age
- Have the legal authority to enter into a binding agreement on behalf of yourself or your organisation
- Not be located in a country subject to a U.S. government embargo or designated as a terrorist-supporting country
- Not be on any government list of prohibited or restricted parties
3. Account Registration
- You must provide accurate, complete, and current information when creating your account. You are responsible for keeping this information up to date.
- You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at support@paylexer.com if you suspect unauthorised access to your account.
- You may not share your account with others or create accounts on behalf of someone else without their consent.
- We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.
4. Acceptable Use
You agree to use PayLexer only for lawful purposes. You must not use PayLexer to:
- Violate any applicable law, regulation, or third-party rights
- Process or facilitate payments for illegal goods or services
- Circumvent, disable, or interfere with security features of the platform
- Reverse-engineer, decompile, or attempt to extract the source code of any part of PayLexer
- Introduce malware, viruses, or any other harmful code into the platform
- Use automated means (bots, scrapers, crawlers) to access the platform without our prior written consent
- Resell or sublicense access to PayLexer without our prior written consent
Violations of this section may result in immediate account termination and, where appropriate, referral to law enforcement.
5. Payment Gateways and Third-Party Services
PayLexer connects your websites to third-party payment gateway providers. Your use of those providers is governed by their own terms of service and privacy policies. We are not responsible for the actions, errors, or policies of any third-party payment gateway.
You are responsible for ensuring you have agreed to and comply with the terms of each payment gateway you connect through PayLexer.
PayLexer does not store, process, or have access to your customers’ payment card details or sensitive financial information. All payment data is handled directly by the respective gateway under their own PCI-DSS compliance obligations.
6. Free Plan and Pricing
PayLexer currently offers a free plan that allows you to connect up to five (5) WordPress websites. We reserve the right to modify or introduce paid plans with reasonable advance notice.
We will notify existing users by email at least 30 days before any material changes to the pricing structure that would affect their current usage.
We do not charge transaction fees. You are solely responsible for any fees charged by your chosen payment gateway provider.
Refunds: As PayLexer is currently free, no refunds are applicable. A refund policy will be introduced alongside any future paid plans and communicated to users in advance.
7. Intellectual Property
PayLexer and all associated software, design, trademarks, and content are owned by or licensed to Codewing Solutions Pvt. Ltd. Nothing in these Terms grants you any ownership rights in the platform.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use PayLexer for your own business purposes.
You retain ownership of any data, content, or materials you provide to PayLexer. By providing such content, you grant us a limited licence to use it solely to deliver the service to you.
8. Availability and Modifications
We aim to keep PayLexer available at all times but do not guarantee uninterrupted or error-free access. Scheduled and unscheduled maintenance may result in temporary downtime.
We reserve the right to modify, suspend, or discontinue any feature or the platform as a whole, at any time, with reasonable notice where practical.
We may update these Terms from time to time. Material changes will be communicated by email and/or a notice on the platform at least 14 days before the changes take effect. Continued use after the effective date of a revision constitutes your acceptance of the updated Terms.
9. Force Majeure
PayLexer shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, internet outages, third-party service failures, government actions, or any other event outside our reasonable control. In such circumstances, we will make reasonable efforts to restore service as quickly as possible and will communicate with affected users where practical.
10. Account Inactivity
If your account has shown no activity for 12 consecutive months, we will consider it inactive. We will notify you by email 90 days before we intend to close the account, and again 30 days before closure. If you do not log in or respond within that period, we reserve the right to close the account and delete associated data in accordance with our Privacy Policy.
If you believe your account was closed in error, please contact us at support@paylexer.com and we will do our best to assist you.
11. Communications and Email Marketing
By creating a PayLexer account, you agree to receive essential service communications including account updates, security notices, and changes to these Terms. These communications are necessary for the operation of your account and cannot be opted out of while your account remains active.
Where you have opted in, we may also send you product announcements, feature updates, and promotional communications. You may opt out of marketing communications at any time by clicking the unsubscribe link in any marketing email or by contacting us at support@paylexer.com. We comply with applicable anti-spam laws including CAN-SPAM and GDPR email marketing requirements.
12. Disclaimer of Warranties
PayLexer is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be error-free, secure, or continuously available.
Nothing in this section limits any rights you may have under applicable consumer protection laws in your jurisdiction that cannot be excluded by contract.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Codewing Solutions Pvt. Ltd. and its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages – including lost profits, lost data, or business interruption – arising from your use of or inability to use PayLexer, even if we have been advised of the possibility of such damages.
Nothing in this section limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.
14. Indemnification
You agree to indemnify and hold harmless Codewing Solutions Pvt. Ltd., its affiliates, and their respective officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of PayLexer; (b) your violation of these Terms; or (c) your violation of any third-party right, including any payment gateway’s terms of service.
15. Termination
You may terminate your account at any time by contacting us at support@paylexer.com.
We may suspend or terminate your account at any time if we determine you have violated these Terms, if required by law, or if we reasonably believe your use poses a risk to the platform or other users.
Upon termination, your right to access PayLexer ceases immediately. Sections that by their nature should survive termination — including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law — will continue to apply.
16. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of Nepal, where Codewing Solutions Pvt. Ltd. is registered.
Any dispute arising from or relating to these Terms shall first be submitted to good-faith negotiation between the parties. If the dispute remains unresolved within 30 days of written notice, it shall be submitted to binding arbitration or the competent courts of Nepal, unless otherwise required by applicable law in your jurisdiction.
